Beneficial ownership is one of the most consequential AML controls — and one of the most frequently mis-applied. Under the PCMLTFA, reporting entities must take reasonable measures to obtain and confirm the identity of the natural persons who ultimately own or control 25% or more of an entity, with additional rules for trusts, partnerships, and complex structures. This advanced course goes beyond the basics to address the complex structures that compliance teams actually struggle with: tiered holdings, nominee shareholders, trusts and settlors, partnerships, and unincorporated arrangements. It addresses how to corroborate ownership claims, when to escalate, and how to document the file. It also covers the interaction between the PCMLTFA, the federal Canada Business Corporations Act ISC register, and provincial transparency registries (such as BC's LOTR and Ontario's beneficial ownership rules).
